Terms of Service

• “RxScribe” means the desktop application, APIs, documentation, installer, and any updates or future versions made available by OneRx under these Terms.
• “Subscription” means the active OneRx membership or licence arrangement that grants the pharmacy access to RxScribe.
• “Authorised User” means a licensed pharmacy professional (pharmacist, pharmacy technician) employed by or contracted to the subscribing pharmacy who has been granted credentials to use RxScribe.
• “Pharmacy Custodian” means the pharmacy organisation that holds legal responsibility for health records processed through RxScribe under applicable provincial health-information legislation.
• “Clinical Documentation” means notes, assessments, consents, prescribing records, physician summaries, and other pharmacy records authored or finalised through RxScribe by an Authorised User.
• “Prescribing Algorithm” means the structured clinical pathway made available in the Rx Prescribe module for a published indication, including its screening questions, red flags, eligibility rules, scoring, and the therapy options it surfaces.
• “Ambient Scribe” means the optional feature that records a patient consultation, transcribes it, and drafts a clinical note from the transcript for the Authorised User to review.
• “Captured Content” means any image supplied to RxScribe for extraction, whether chosen as a file or captured by dragging a selection over a region of the workstation’s screen.
• “Support Report” means a report submitted through RxScribe’s in-app feedback feature, including any screenshot attached to it.
• “Workstation” means an individual computer on which RxScribe is installed and which is registered against the subscribing pharmacy’s device allocation.
• “Confidential Information” means login credentials, session tokens, patient health information, and any non-public business or technical information disclosed in connection with the Services.

RxScribe is a professional tool intended exclusively for use by licensed pharmacy professionals practising in Canada. Access is limited to:

• Pharmacies and pharmacy organisations holding a valid Canadian pharmacy licence and an active OneRx Subscription.
• Individual Authorised Users who hold, or are supervised by a holder of, a current pharmacy licence issued by a Canadian college of pharmacy.
• Persons acting in a supervised administrative capacity who have been expressly authorised by the subscribing pharmacy to perform specific tasks within RxScribe.

RxScribe must not be used by unlicensed individuals for the independent practice of pharmacy, or in any manner that violates applicable professional regulations or college standards of practice.

The Rx Prescribe module carries an additional requirement: it may be used only by a pharmacist who holds prescribing authority in the province in which they are practising, for indications within the scope of that authority, and in accordance with any conditions their college attaches to it. RxScribe does not verify prescribing authority and does not confirm that an indication is within your provincial scope. The availability of the module, or of any particular indication within it, is not a representation that either condition is met. Confirming both is the pharmacist’s responsibility, on every occasion.

The subscribing pharmacy is responsible for managing Authorised User access, revoking credentials when users leave or change roles, and ensuring all users comply with these Terms. Because RxScribe can be configured to prefill sign-in credentials on a Workstation, the pharmacy is also responsible for ensuring that each staff member uses their own operating-system account on any shared Workstation.

Subject to your compliance with these Terms and the timely payment of applicable Subscription fees, OneRx grants the subscribing pharmacy a limited, non-exclusive, non-transferable, revocable licence to:

• Install and run RxScribe on Workstations located at authorised pharmacy sites, within the device allocation of your Subscription.
• Allow Authorised Users to access and use RxScribe solely to create, edit, and manage Clinical Documentation in connection with the pharmacy’s legitimate professional activities.
• Download, store, print, and transmit Clinical Documentation generated through RxScribe for recordkeeping and patient-care purposes.

All rights not expressly granted are reserved by OneRx. The licence does not include the right to sublicence RxScribe, to integrate it with third-party systems without OneRx’s written consent, or to use it for the benefit of any pharmacy other than the subscribing pharmacy.

You may

• Use RxScribe to document pharmacy clinical services within your professional scope of practice.
• Use Rx Prescribe to support prescribing decisions you are authorised to make, subject to section 6.
• Export, print, or download Clinical Documentation for incorporation into the pharmacy’s patient records or for transmission to a patient’s prescriber.
• Contact OneRx support for assistance with RxScribe functionality.

You must not

• Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of RxScribe.
• Modify, adapt, translate, or create derivative works of RxScribe.
• Share, sublicence, resell, or otherwise make RxScribe available to any party other than Authorised Users of the subscribing pharmacy.
• Use RxScribe in a manner that violates any applicable law, professional regulation, or college standard of practice.
• Upload, capture, dictate, or otherwise process information that you do not have lawful authority to process — including capturing a region of a screen displaying a system you are not authorised to view.
• Attempt to circumvent authentication, access controls, Workstation registration, or any security measure of RxScribe or the OneRx platform.
• Use RxScribe for automated scraping, benchmarking, or performance testing without prior written consent from OneRx.
• Remove, alter, or obscure any proprietary notices, trademarks, or copyright statements in RxScribe.

RxScribe is a documentation and prescribing-support tool. It is not a medical device, a drug information service, a dispensing system, or a pharmacy management system, and it does not perform patient-specific interaction, allergy, or duplicate-therapy screening.

All clinical decisions — including medication selection, dose calculation, patient assessment, adaptation rationale, therapeutic appropriateness, and the decision to prescribe or to refer — remain the sole professional responsibility of the Authorised User. Where RxScribe structures, scores, prompts, or drafts, it does so to support and record the pharmacist’s reasoning. It does not exercise clinical judgement, and no output of RxScribe should be treated as one.

Clinical Documentation generated through RxScribe is authored by the pharmacist and approved by them before finalisation. OneRx makes no warranty — express or implied — that any documentation produced through RxScribe satisfies the clinical standards of any college of pharmacy, payer, insurer, or regulatory body. The Authorised User is responsible for reviewing all generated documentation for accuracy and completeness before using, submitting, or transmitting it.

• RxScribe is not regulated as a medical device under the Food and Drugs Act (Canada) or any provincial equivalent.
• RxScribe is not approved, endorsed, or certified by Health Canada, any provincial college of pharmacy, or any pharmacy regulatory authority.
• RxScribe does not dispense medications and is not a substitute for your pharmacy dispensing system.
• RxScribe does not provide patient-specific drug interaction checking, allergy cross-referencing, or clinical screening against a patient’s complete medication history.

Several RxScribe features use automated systems — including artificial intelligence — to generate or extract content: Ambient Scribe drafts notes from speech, Rx Prescribe evaluates an assessment and generates documents, and the image reader extracts values from a picture. Every one of those outputs is presented for review and none is a clinical conclusion. Sections 6 through 8 set out the specific obligations that attach to each.

The Authorised User is the prescriber of record. RxScribe does not prescribe, does not authorise prescribing, and does not verify that a prescription is within your scope of practice.

6.1 What the Prescribing Algorithm does

A Prescribing Algorithm is a structured representation of published clinical guidance for a specific indication. It presents screening questions, computes an assessment outcome from the answers entered, applies eligibility rules, gates on red flags, and surfaces the therapy pathways and drug groups associated with the resulting branch. The pharmacist selects the product, dose, and duration — or decides not to prescribe. The algorithm does not select a product, and its output is a starting point for the pharmacist’s assessment, not a recommendation the pharmacist may adopt without independent judgement.

6.2 What it does not do

• It does not examine the patient and knows nothing that the Authorised User has not entered. An incomplete or inaccurate entry produces an outcome that is wrong in a way the software cannot detect.
• It does not screen against the patient’s complete medication, allergy, or dispensing history.
• It does not confirm that you hold prescribing authority, that the indication is within your provincial scope, or that any condition attached to your authority has been met.
• It does not detect a condition outside the indication being assessed.

Red-flag screening is an aid, not a safety net. An assessment that raises no flag is not a clearance to prescribe, and a pathway that surfaces a therapy option is not advice that the option is appropriate for this patient. Where the clinical picture warrants referral, the Authorised User must refer regardless of what the algorithm returns.

6.3 Documents and disclosure

Rx Prescribe generates a chart note and a physician summary from the encounter. Both are drafts: the Authorised User must review and correct them before finalising, and finalising is a representation that they have done so. Sending, printing, or faxing a physician summary is a disclosure of personal health information made by the Pharmacy Custodian at the Authorised User’s direction. Confirming that the disclosure is permitted, that the recipient is correct, and that the transmission method is appropriate is the Custodian’s responsibility. RxScribe produces the document; it does not transmit it to a prescriber and does not verify that a disclosure is authorised.

Clinical pathways are versioned and may be updated, corrected, or withdrawn by OneRx as the underlying guidance changes. OneRx does not warrant that any pathway reflects the most current guidance, the requirements of your province, or the standards of your college at the time you use it, and the Authorised User remains responsible for knowing the applicable standard.

Ambient Scribe records a patient consultation and drafts a note from it automatically. Obtaining the patient’s consent to be recorded, and reviewing every generated note before saving it, are the Authorised User’s responsibility.

Where an Authorised User uses Ambient Scribe, they are responsible for obtaining and documenting the patient’s informed consent to be recorded before recording begins, in the manner required by their college and by applicable provincial health-information legislation. This includes informing the patient that an automated system will produce the note, that they may decline without any effect on the care they receive, and that they may ask for recording to be paused or stopped at any time. RxScribe provides a consent disclosure, a decline path, a patient-facing recording indicator, and a pause control to support that obligation; it does not discharge it.

Notes drafted by Ambient Scribe are generated by an automated system from a transcript of speech. They may contain errors, omissions, misattributed statements, or content that was never said, and speech-recognition accuracy varies with accent, background noise, and audio quality. The Authorised User must review and correct every generated note before saving it and remains solely and professionally responsible for its clinical accuracy and completeness. Confirming the review attestation in the application is a representation by the Authorised User that they have performed that review.

Automated removal of patient identifiers is applied before a transcript is used to draft a note. It is a safeguard, not a guarantee: it may miss an identifier, and it may remove or alter a term that is clinically meaningful. The Authorised User must not rely on it as a substitute for avoiding unnecessary identifiers, and must check the drafted note for both problems.

The Authorised User is responsible for using Ambient Scribe only where recording is lawful and appropriate, for pausing or stopping recording when a patient asks or when the conversation moves to matters that should not be captured, and for not recording third parties who have not consented.

Where a Workstation cannot transcribe on-device, RxScribe transcribes through a third-party provider that processes audio outside Canada. The Privacy Policy describes this in detail. A Pharmacy Custodian whose policies or provincial legislation restrict cross-border processing of personal health information is responsible for determining whether Ambient Scribe may be used on such a Workstation.

RxScribe can extract a medication list, clinical values, or an immunization history from Captured Content. The image is transmitted to OneRx for extraction, and the extracted values are returned for the Authorised User to review.

• The Authorised User is responsible for ensuring they are lawfully authorised to view, capture, and transmit whatever appears in the Captured Content — including content belonging to a dispensing system, an electronic health record, or a document supplied by a third party.
• A screen-region capture transmits everything inside the selected rectangle, including any patient identifiers visible in it. The Authorised User is responsible for the size and placement of that selection.
• Extracted values are a transcription produced by an automated system and may be incorrect, incomplete, or mismatched to the wrong catalogue entry. The Authorised User must verify every extracted row against the source before accepting it into a record. Accepting an extracted row is a representation that they have done so.
• The extraction result is not a clinical assessment, and matching a value to a catalogue entry is not a confirmation that the value is correct or that the medication is current.

A Support Report contains what you write, the screen you were on, and — only if you add one — a screenshot of the RxScribe window. You are responsible for what you put in it. Please describe the problem rather than the patient, and use the preview shown before sending to remove any attachment that contains personal health information you did not intend to send.

OneRx uses Support Reports to investigate and resolve issues, to improve the Services, and to keep a record of the resulting change. Where a report contains personal health information, OneRx handles it as Confidential Information under these Terms and in accordance with the Privacy Policy.

Suggestions, feature requests, and other non-confidential ideas you submit may be used by OneRx to improve the Services without obligation, attribution, or compensation. This does not apply to Clinical Documentation, patient information, or any Confidential Information contained in a report, in which OneRx acquires no rights.

Access to RxScribe requires an active OneRx Subscription. Subscription fees, payment terms, device allocation, and renewal conditions are set out in the OneRx membership agreement or order form applicable to your pharmacy.

• Fees are due in accordance with the billing schedule in your Subscription. Failure to pay may result in suspension or termination of access.
• All fees are quoted in Canadian dollars and are subject to applicable taxes (including HST/GST/QST) unless otherwise stated.
• OneRx reserves the right to adjust Subscription pricing on reasonable notice; continued use after the effective date of a price change constitutes acceptance.
• Unused portions of a Subscription period are generally non-refundable except where required by applicable consumer-protection legislation.

RxScribe™, OneRx™, and all associated logos, trade names, trademarks, technology, software, documentation, user interfaces, and Prescribing Algorithms are the exclusive property of OneRx Inc. or its licensors and are protected by Canadian and international intellectual-property laws.

These Terms do not convey to you any ownership interest in RxScribe or the OneRx platform. Your licence terminates automatically upon any breach of these Terms or the expiry or termination of your Subscription.

Clinical Documentation authored and finalised by Authorised Users through RxScribe remains the property of the subscribing pharmacy. OneRx does not claim ownership of any Clinical Documentation created by your pharmacy professionals, and does not use your Clinical Documentation, consultation audio, transcripts, or Captured Content to train artificial-intelligence models.

Our collection, use, and protection of information in connection with RxScribe is governed by the RxScribe Privacy Policy (“Privacy Policy”), which is incorporated into these Terms by reference. By using RxScribe, you acknowledge that you have read and understood the Privacy Policy.

• The subscribing pharmacy is the custodian (or health information custodian / trustee under applicable provincial legislation) of personal health information processed through RxScribe.
• OneRx acts as an information manager or service provider, processing information only on behalf of and at the direction of the Pharmacy Custodian.
• The pharmacy is responsible for obtaining any patient consents required by applicable law before entering, dictating, or capturing personal health information in RxScribe.
• The pharmacy is responsible for assessing the optional features described in sections 7 and 8 against its own privacy obligations, including any restriction on cross-border processing.
• OneRx implements industry-standard safeguards, including protected operating-system credential storage, encryption of clinical submissions in addition to encrypted transport, an isolated and sandboxed application interface, exclusion of the application window from operating-system screen capture, and per-Workstation registration and revocation.

Patient identifiers are not required to operate RxScribe, which identifies patients by a pharmacist-chosen pseudonymous code. Free-text fields, dictated speech, and Captured Content are where identifiable information can nonetheless enter the app; follow your custodian’s policies on what, if anything, is entered there.

OneRx will make reasonable efforts to maintain the availability and reliability of RxScribe and the underlying APIs. However, we do not guarantee uninterrupted or error-free operation. Scheduled maintenance, unplanned outages, third-party infrastructure failures, or force-majeure events may temporarily affect availability. Features that depend on our services — including Ambient Scribe, Rx Prescribe evaluation, and image extraction — are unavailable when those services are unreachable.

• Each installation registers the Workstation it runs on against your pharmacy’s device allocation. An administrator may approve, refuse, or revoke a Workstation, and a revoked Workstation loses access and has its stored credentials cleared.
• Uninstalling RxScribe releases that Workstation’s allocation. A Workstation can only deregister itself.
• OneRx may release updates, patches, or new versions at any time. Some updates may be applied automatically; others may require your action. OneRx may block a version known to be unsafe.
• OneRx may modify, deprecate, or discontinue features of RxScribe with reasonable notice where technically or commercially necessary — including withdrawing or revising a Prescribing Algorithm.
• Continued use of RxScribe following an update constitutes acceptance of any changed functionality.
• OneRx is not liable for any loss or inconvenience arising from a planned or unplanned service interruption.

Either party may terminate the Subscription in accordance with the OneRx membership agreement. In addition:

• OneRx may immediately suspend or terminate your access to RxScribe if you breach these Terms, fail to pay applicable fees, or engage in conduct that exposes OneRx, other users, or patients to harm or legal risk.
• OneRx may terminate the Services upon reasonable notice if required to do so by applicable law or regulation.
• You may stop using RxScribe at any time; your obligation to pay outstanding Subscription fees survives termination.

Upon termination, your licence to use RxScribe ends immediately. You remain responsible for exporting and retaining any Clinical Documentation you require before access is removed. Sections 5 through 9, 11, 12, and 15 through 18 of these Terms survive termination.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RXSCRIBE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. ONERX EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION:

• Any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.
• Any warranty that RxScribe will be uninterrupted, error-free, secure, or free of harmful components.
• Any warranty as to the clinical accuracy, completeness, or regulatory adequacy of documentation generated through RxScribe.
• Any warranty that a Prescribing Algorithm reflects current clinical guidance, the requirements of your province, or the standards of your college.
• Any warranty as to the accuracy of a transcript, an automatically drafted note, or a value extracted from Captured Content.
• Any warranty that automated removal of patient identifiers will detect or remove every identifier.
• Any warranty that RxScribe will meet the requirements of any college of pharmacy, payer, insurer, or regulatory authority.

Nothing in these Terms excludes or limits any statutory rights you may have under applicable Canadian consumer-protection legislation that cannot be waived by contract.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ONERX, ITS DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF RXSCRIBE, INCLUDING WITHOUT LIMITATION:

• Loss of revenue, profit, data, or business opportunity.
• Any clinical outcome, patient harm, or professional sanction arising from reliance on documentation, an assessment outcome, a therapy option, a transcript, a generated note, or an extracted value produced through RxScribe.
• Any disclosure of personal health information made by an Authorised User or the Pharmacy Custodian, including transmission of a physician summary and capture of a screen region.
• Service interruptions, data loss, or security incidents beyond OneRx’s reasonable control.
• Errors, inaccuracies, or omissions in any data retrieved through RxScribe’s integrations.

OneRx’s total cumulative liability to you under these Terms, regardless of the form of action, will not exceed the greater of (a) the total Subscription fees paid by the subscribing pharmacy to OneRx in the twelve (12) months immediately preceding the claim, or (b) one hundred Canadian dollars (CAD $100).

Some jurisdictions do not allow the exclusion of implied warranties or the limitation of incidental or consequential damages, so some of the above limitations may not apply to you.

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services that cannot be resolved by good-faith negotiation between the parties shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario.

If you are a Canadian pharmacy professional using RxScribe through your professional practice, nothing in this section limits your right to bring a complaint before the relevant provincial college of pharmacy, privacy commissioner, or other applicable regulator.

OneRx may update these Terms from time to time to reflect changes to the Services, applicable law, or our business practices. We will notify you of material changes through the RxScribe application, by email to the registered pharmacy administrator, or both. The effective date at the top of this document indicates the most current version.

Continued use of RxScribe after the effective date of an amended version of these Terms constitutes your acceptance of the changes. If you do not agree to the amended Terms, you must discontinue use of RxScribe and notify OneRx to terminate your Subscription.
